Agreement to Terms

These Terms of Service (“Terms”) govern your use of the Prepare That Day service (“Service”) operated by AGENTYAY LABS LTD (“Company”, “we”, “us”, or “our”), a company registered in England and Wales (Company Number: 16624508).

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Service Description

Prepare That Day is an encrypted digital vault service that allows you to:

• Store important documents and information in an encrypted vault
• Designate trusted contacts who can request access
• Control access through time-delayed approval mechanisms

The Service uses end-to-end encryption. You are solely responsible for maintaining access to your encryption keys and password.

2. Eligibility

You must be at least 18 years old to use this Service. By using the Service, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms.

3. Account Responsibilities

You are responsible for:

• Providing accurate account information
• Maintaining the security of your password and encryption keys
• All activities that occur under your account
• Ensuring your trusted contacts' information is accurate and up to date
• Notifying us immediately of any unauthorised access

You may not share your account credentials or allow others to access your account.

6. Lapsed Accounts and Data Retention

If your subscription expires or is cancelled:

• Your vault will become read-only (you can view but not edit)
• You will have a 60-day grace period to reactivate your subscription
• After 60 days, your account and all associated data will be permanently deleted
• We will send reminder emails before deletion occurs

We cannot recover deleted data. Ensure you export any needed information before your grace period ends.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Store content that violates any applicable law
• Attempt to circumvent security measures or access other users' data
• Interfere with or disrupt the Service or servers
• Use automated systems to access the Service without permission
• Impersonate any person or entity
• Use the Service to harass, abuse, or harm others

We reserve the right to terminate accounts that violate these terms. See our Acceptable Use Policy for details.

8. Intellectual Property

The Service, including its design, features, and content (excluding your vault data), is owned by AGENTYAY LABS LTD and protected by intellectual property laws.

You retain all rights to the content you store in your vault. By using the Service, you grant us a limited licence to store your encrypted data solely to provide the Service.

9. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• The Service will be uninterrupted or error-free
• Defects will be corrected
• The Service is free of viruses or harmful components

10. Limitation of Liability

To the maximum extent permitted by law, AGENTYAY LABS LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising from your use of the Service.

Our total liability for any claims arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

11. Indemnification

You agree to indemnify and hold harmless AGENTYAY LABS LTD and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Service Modifications and Discontinuation

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice.

Service shutdown: If we discontinue the Service entirely, we will provide at least 30 days' notice via email to allow you to export your data before the Service closes.

13. Termination

You may terminate your account at any time through your account settings or by contacting us.

We may terminate or suspend your account immediately, without prior notice, if you breach these Terms or engage in conduct we determine to be harmful to the Service or other users.

Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination shall survive.

14. Governing Law and Disputes

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer, you may also be entitled to bring proceedings in your country of residence.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 30 days before they take effect.

Your continued use of the Service after changes become effective constitutes acceptance of the new Terms. If you do not agree to the changes, you must stop using the Service.

16. General Provisions

Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

Entire Agreement: These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and us.

Assignment: You may not assign these Terms without our consent. We may assign our rights and obligations without restriction.
